Infer Terms of Service
Summary
Infer provides API access to large language model inference. You keep ownership of what you send us and what the model returns; we retain none of it. You agree to use the service lawfully and within the acceptable-use rules below, and not to send regulated data (such as protected health information) without a written agreement that covers it. The service is provided as is: performance figures published on our website are engineering targets, not promises, and our liability to you is limited as set out in Section 11.
1. Agreement
These Terms of Service (the "Terms") are a binding agreement between you (the person or entity using the service, "you" or "Customer") and Enterprise Technology Group, Inc., operating as Infer ("Infer", "we", "us"). By accessing or using the Infer inference service (the "Service"), directly or through a routing platform or other intermediary, you accept these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
Where you access the Service through a routing platform, that platform's own terms also govern your relationship with it. These Terms govern Infer's obligations to you regarding the Service, and prevail over any conflicting statement elsewhere on our website.
2. The Service
The Service provides programmatic access to inference against the model or models listed on our website, via an OpenAI-compatible API surface. Infer operates the serving infrastructure; the models themselves are developed by third parties and are provided under their developers' published license terms (Section 7).
Infer applies admission control to protect the performance of admitted requests. When
capacity is exhausted, new requests are refused with an HTTP 429 response
rather than queued. A 429 is a normal operating signal, is retryable, and
carries no partial output. We may change, suspend, or discontinue any part of the Service,
including the models offered, with notice where practicable.
3. Eligibility & accounts
You must be at least 18 years old and legally able to enter into contracts. You are responsible for all activity under credentials issued to you or to your organization, for keeping those credentials confidential, and for notifying us promptly at contact@infer.industries if you believe they have been compromised.
4. Acceptable use
You agree not to use the Service, and not to permit others to use it through you, to:
- violate any applicable law or regulation, or infringe the rights of any third party;
- generate, request, or distribute child sexual abuse material, or any content that sexualizes minors;
- develop, distribute, or operate malware, or facilitate unauthorized access to any system, network, or data;
- harass, threaten, defraud, or deceive others, including by generating content presented as originating from a real person or organization without authorization;
- attempt to access, interfere with, or extract data belonging to other customers, or to probe, circumvent, or overload the Service's admission control, authentication, or security measures;
- use the Service in any application where failure could lead to death, personal injury, or severe physical or environmental damage without independent safeguards adequate to that risk;
- violate the license terms of any model made available through the Service; or
- resell or provide access to the Service in a manner that conceals the origin of the traffic or evades these Terms.
We may suspend or terminate access that we reasonably believe violates this Section, with notice where practicable.
5. Regulated data
You may not submit protected health information subject to HIPAA, records subject to 42 CFR Part 2, payment card data, or other data whose processing requires a specific contractual instrument, unless and until Infer has executed the applicable agreement with you or with the party through which you access the Service and has confirmed in writing that the Service is available for that data. Infer's current position on regulated workloads is published on our HIPAA and compliance pages. You are responsible for determining whether data you submit is subject to such requirements.
6. Your content & data handling
You retain all rights in the prompts, inputs, and other material you submit ("Input") and, as between you and Infer, in the responses generated for you ("Output"). You grant Infer only the limited right to process Input and generate Output for the purpose of providing the Service to you. Infer processes Input and Output under the Privacy & Data Retention Policy, which is incorporated into these Terms: content is processed in volatile memory only and is not stored, logged, used for training, or shared.
You are responsible for your Input and for your use of Output. Output is generated by a machine learning model and may be inaccurate, incomplete, or unsuitable for a given purpose; you must evaluate it accordingly, and must not rely on it as professional (medical, legal, financial, or similar) advice without independent review. Output may be similar or identical to output generated for other customers; you acquire no exclusive rights in any Output.
7. Third-party models & licenses
Models available through the Service are developed and licensed by third parties. Your use of any model's Output is subject to that model's license terms as published by its developer, in addition to these Terms. Infer makes no representation regarding a model's training data, behaviour, or fitness for any purpose, and the model developer is not a party to these Terms.
8. Fees & payment
Where you access the Service through a routing platform, fees are set, billed, and collected by that platform under its terms, and Infer has no direct billing relationship with you. Where Infer bills you directly, fees are as stated in your order or on our website at the time of use, are calculated from usage metadata (token counts) as recorded by the Service, are exclusive of taxes, and are due as invoiced. Usage recomputed because of an internal failover on our side is not billed as new prefill.
9. Intellectual property
Infer and its licensors own all rights in the Service, including its software, gateway, infrastructure, documentation, and branding. Except for the limited right to use the Service under these Terms, no rights are granted to you by implication or otherwise. If you provide feedback about the Service, we may use it without obligation to you.
10. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, INFER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Performance figures, speed floors, capacity behaviour, and similar statements published on our website describe engineering targets and operating policy; they do not form part of these Terms and are not warranties or service-level commitments. Any service-level commitment exists only if set out in a separate written agreement signed by Infer.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, INFER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. INFER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO INFER FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the extent permitted.
12. Indemnification
You will defend, indemnify, and hold harmless Infer and its officers, directors, employees, and suppliers from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your Input, your use of Output, your violation of these Terms, or your violation of any law or third-party right.
13. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate your access immediately if you materially breach these Terms, if required by law, or if your use presents a security or operational risk to the Service or other customers; otherwise we will give reasonable notice. Because Infer retains no customer content, termination involves no return or deletion of content. Sections 6 through 16 survive termination.
14. Export controls & sanctions
You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive US sanctions, and are not a person on any US government restricted-party list. You agree to comply with all applicable export control and sanctions laws in your use of the Service and Output.
15. Governing law & disputes
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Georgia, and you consent to their jurisdiction. Before filing a claim, each party agrees to attempt in good faith to resolve the dispute by contacting the other in writing and allowing thirty (30) days for resolution.
16. General
- Changes. We may update these Terms. Material changes will be published at this document's canonical location with an updated effective date and at least 30 days' notice before taking effect; continued use after the effective date constitutes acceptance.
- Entire agreement. These Terms, together with the Privacy & Data Retention Policy and any separate written agreement signed by Infer, are the entire agreement between you and Infer regarding the Service.
- Severability; waiver. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices. Notices to Infer must be sent to the address below; notices to you may be sent to the contact details associated with your access.
